5. Service Engagements

This website provides general information about SoftSapien's services and is not itself an offer to contract. Any engagement for consulting, engineering, or related services is governed by a separate, signed Statement of Work or Master Services Agreement negotiated directly with you, which sets out the specific scope, deliverables, fees, intellectual property terms, and service levels for that engagement. If there is any conflict between these Terms and a signed engagement agreement, the signed agreement controls for that engagement.

6. Quotes and Proposals

Quotes and proposals issued by SoftSapien are estimates based on the scope described at the time of the discovery call, and are valid for 30 days from issue unless stated otherwise. Pricing is custom-quoted per engagement and is not final until confirmed in a signed statement of work.

7. Payment Terms

Unless otherwise agreed in writing, invoices are due within 30 days of the invoice date. Engagements billed on a retainer basis are invoiced monthly in advance. Fixed-price engagements are invoiced according to the milestone schedule set out in the applicable statement of work.

8. Taxes

Quoted fees do not include applicable sales tax, VAT, GST, or similar taxes, which will be added to invoices where legally required.

9. Delivery of Services

Services are delivered according to the timeline set out in the applicable statement of work. Delivery dates are estimates and may be affected by scope changes, delayed client input, or dependencies outside SoftSapien's control.

10. Cancellation and Refunds

Either party may terminate an engagement in accordance with the termination provisions of the applicable statement of work. Fees for work already performed, and non-cancellable costs already committed, are non-refundable.

11. Warranties

SoftSapien warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Except as expressly stated in a signed statement of work, services are provided without other warranties, express or implied.

12. Submissions Through This Website

When you submit information through our proposal builder, contact form, or NDA request, you represent that the information is accurate and that you are authorized to submit it on behalf of your organization. Do not submit confidential or sensitive information through public web forms beyond what is reasonably necessary to describe your project. Additional confidential information should be shared only after a mutual non-disclosure agreement is in place.

13. Third-Party Services

This website may incorporate or link to third-party services, such as calendar scheduling tools. Your use of those services is governed by that third party's own terms and privacy policy, and we are not responsible for their content or practices.

14. Disclaimers

15. Limitation of Liability

Our total liability for any claim arising from use of this website is limited to the amount, if any, you paid us to access the website, which for most visitors is zero. For a paid service engagement, SoftSapien's aggregate liability arising from that engagement is limited to the fees paid for the services giving rise to the claim, except where a signed statement of work states otherwise.

16. Indemnification

You agree to indemnify and hold SoftSapien harmless from any claims, damages, or expenses, including reasonable legal fees, arising from your misuse of this website or your violation of these Terms.

17. Governing Law

These Terms are governed by the laws applicable in the jurisdiction of SoftSapien's principal place of business, without regard to conflict of law principles. Any dispute arising from these Terms or your use of this website is subject to the exclusive jurisdiction of the courts in that location, except where mandatory local consumer protection law provides otherwise or a signed statement of work specifies otherwise.

18. Termination

We may suspend or restrict your access to this website at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

19. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any signed engagement agreement, constitute the entire agreement between you and SoftSapien regarding your use of this website.
