If these Terms conflict with a signed engagement agreement, the signed agreement controls for that engagement.

7. Quotes and Proposals

Quotes and proposals issued by SoftSapien are estimates based on the scope described at the time they are prepared and are valid for 30 days from issue unless stated otherwise. Pricing is quoted per engagement and is final only when confirmed in a signed statement of work.

8. Payment Terms

Unless otherwise agreed in writing, invoices are due within 30 days of the invoice date. Retainer engagements are invoiced monthly in advance. Fixed-price engagements are invoiced according to the milestone schedule in the applicable statement of work.

9. Taxes

Quoted fees exclude applicable sales tax, VAT, GST and similar taxes, which are added to invoices where legally required.

10. Delivery of Services

Services are delivered according to the timeline in the applicable statement of work. Delivery dates are estimates and may be affected by scope changes, delayed client input or dependencies outside SoftSapien's control.

11. Cancellation and Refunds

Either party may terminate an engagement in accordance with the termination provisions of the applicable statement of work. Fees for work already performed, and non-cancellable costs already committed, are non-refundable.

12. Service Warranties

SoftSapien warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Except as expressly stated in a signed statement of work, services are provided without other warranties, express or implied.

13. Submissions and Feedback

When you submit information through our forms, chat or proposal builder, you confirm that it is accurate and that you are authorized to share it on behalf of your organization. Please share only what is reasonably necessary to describe your needs. Confidential information should be exchanged only after a mutual non-disclosure agreement is in place.

If you send us feedback or suggestions about our website or services, you agree that we may use them without restriction or obligation to you.
